A private limited company is one of the two forms of company that can be incorporated in Singapore. The other is the public companies. The private limited company is further classified between limited by shares and limited by guarantee. In a private company limited by guarantee, there is no share capital. However, in the event of liquidation or winding off, the shareholders or members of such company agree to pay a fixed amount. This type of company is used by non-profit organizations.

In a private company limited by share or simply private limited company, the shares are not offered for sale to the public; and the liability of each shareholder is limited to their unpaid shares in the company. It is formed by a resident director, a shareholder, and a corporate secretary. Before these individuals submit the documents necessary for incorporation, it must first secure its Certificate of Company Name issued by Singapore’s company registrar.
